Agreement for Sale vs Sale Deed in Kolkata Property Transactions
An agreement for sale usually records the parties’ promise and closing conditions; a sale deed is the instrument intended to complete the conveyance. Treating them as interchangeable can cause confusion about when title, possession, risk and payment obligations actually change.
Different functions
Use each document for its transaction stage
Section 54 of the Transfer of Property Act, 1882 distinguishes a contract for sale from the completed sale of immovable property. The agreement can organise investigation, payment, approvals, loan steps, vacancy and default. The deed should implement the final verified transfer and comply with the Registration Act, 1908.
Agreement stage
Define deposit, due diligence, conditions, completion date, access and consequences of default.
Deed stage
State the property transferred, consideration, title source, possession, encumbrances and execution authority.
Possession
Avoid assuming that keys, occupation and legal title pass at the same moment.
Registration
Check which instrument requires registration and the effect of non-registration from current law.
Risk allocation
Convert unresolved facts into clear conditions
A buyer may require title documents, lender release, approvals, tenant handover, tax clearance or correction of property details before completion. The agreement should say who must act, by when, what evidence will satisfy the condition and what happens if it fails. Vague assurances are difficult to enforce.
- Match the property schedule across both instruments.
- Reconcile every payment and adjustment at closing.
- Define which originals are delivered and retained.
- Record when possession, benefits and liabilities shift.
Drafting route
Do not reuse the agreement as the final deed
The documents may share facts but should not repeat conflicting terms. Final deed clauses require a separate closing review. Use the sale deed clause checklist for that stage.

Bring both drafts and the due-diligence result
Share the proposed agreement and deed, title documents, property schedule, payment plan, possession terms, lender requirements, outstanding approvals, broker communications and intended completion date.
