Invoices, contractual dues and enforcement
Business Debt Recovery Lawyer in Kolkata
Debt recovery begins by proving why the amount is due and whether it remains enforceable. A ledger balance alone may not establish delivery, acceptance, authority, interest or limitation. The file should distinguish admitted invoices, disputed performance, credits, security and any insolvency or asset risk.
Debt file
Reconcile the contract, performance and money trail
Collect the signed agreement or accepted purchase order, invoices, tax records, delivery or service proof, completion certificates, account statements, payment messages and admissions. Prepare a single schedule showing invoice date, due date, amount, payment, credit, balance and supporting evidence.
Liability
Identify the contracting party, guarantor, principal, agent and any group entity actually involved.
Performance
Link each invoice to delivery, milestone approval, timesheet, acceptance or other contractual trigger.
Defence risk
Record quality objections, set-off, counterclaims, termination, variation and prior settlement discussions.
Recoverability
Assess security, known assets, business status, pending insolvency and likely cost of enforcement.
MSME route
Check statutory delayed-payment rights carefully
Sections 15 to 18 of the Micro, Small and Medium Enterprises Development Act, 2006 address buyer payment obligations, interest, recovery and references to the Micro and Small Enterprises Facilitation Council. Eligibility, supplier status, timing and the transaction record must be verified before relying on that route. An MSME label on an invoice does not replace examination of the statutory conditions.
Procedure choice
Select demand, arbitration or court proceedings from the documents
The Indian Contract Act, 1872 governs core questions of contractual obligation and breach. The dispute clause may require arbitration; otherwise a civil or commercial court route may apply, including requirements under the Commercial Courts Act, 2015. A demand notice should preserve legal options and state a supportable amount rather than exaggerating interest or consequences.
- Check limitation from the cause of action and any valid acknowledgement.
- Separate undisputed principal from contested extras and interest.
- Identify interim protection only where evidence shows a real risk.
- Plan decree or award enforcement before choosing the route.
Commercial objective
Balance recovery with business continuity
Negotiated payment security, instalments, acknowledgements or structured settlement may produce a better recoverable result than an immediate contested claim, but the settlement must be documented and enforceable. Complex breach or damages disputes belong under commercial litigation services; contract repair and future protections under business contract drafting.
Consultation file
Bring the invoice schedule and proof of performance
Share the contract or purchase orders, invoices, ledger, tax documents, delivery or service records, payment history, admissions, objections, notices, security documents, MSME records, dispute clause and any information about the debtor’s assets or insolvency status.
