Business disputes and court strategy
Commercial Litigation Lawyer in Kolkata
A commercial claim should be designed around the business objective, the governing documents and the relief that can actually be enforced. Before filing, the parties should understand the contract, forum, limitation, evidence, urgency, counterclaim risk and cost of interrupting an ongoing relationship.
Pre-action analysis
Define the claim, defence and commercial objective
Identify each obligation, the alleged breach, dates, notices, performance evidence, amount claimed and available remedy. Separate admitted sums from disputed valuation. Review termination, limitation of liability, indemnity, governing law, jurisdiction and dispute-resolution clauses before sending a notice that may lock the client into an inaccurate position.
Contract record
Assemble the signed agreement, amendments, purchase orders, invoices, delivery records and correspondence.
Money schedule
Reconcile principal, credits, taxes, interest basis, security, admissions and disputed components.
Operational evidence
Preserve system records, approvals, inspection reports, communications and witness responsibility.
Urgency
Identify threatened asset transfer, disclosure, encashment, termination or business interruption requiring early relief.
Forum selection
Check arbitration, jurisdiction and commercial-court procedure
An arbitration clause may engage the Arbitration and Conciliation Act, 1996; a court claim may require analysis under the Commercial Courts Act, 2015. Section 12A of the Commercial Courts Act addresses pre-institution mediation where the statutory conditions apply and urgent interim relief is not contemplated. Forum, specified value, territorial jurisdiction and contractual procedure should be checked together.
Case preparation
Plan evidence and relief before pleadings
A pleading should connect every material proposition to a document, witness or permissible inference. Consider preservation requests, admissions, expert questions and how electronic records will be proved. Interim relief should be linked to a specific risk and a workable final remedy, not requested as a standard paragraph.
- Create an issue-by-issue evidence matrix.
- Identify documents held only by the other side or a third party.
- Model the counterclaim and security exposure.
- Plan enforcement before valuing settlement or trial outcomes.
Alternative routes
Compare litigation with focused recovery or arbitration
A payment-only dispute may fit business debt recovery services. A valid arbitration clause may require arbitration services. When the dispute arises from governance or ownership, use shareholder and partnership dispute services. Settlement should be evaluated against evidence, timing and enforceability rather than treated as surrender.
Consultation file
Bring the contract, chronology and money schedule
Share every signed contract and amendment, invoices, delivery or performance records, notices, admissions, payment schedule, electronic communications, proposed witnesses, prior proceedings and details of any threatened asset movement or operational interruption.
