A money-recovery notice should present a legally supportable claim, not merely demand a figure. It should identify the correct parties, source of the debt, performance and payment history, amount calculation, due date, limitation position, earlier demands, and the action required from the recipient.

Verify the creditor, debtor, and legal basis

Confirm the full legal name and address of each party. For a company, partnership, proprietorship, trust, guarantor, or individual signatory, identify who incurred the obligation and who is legally responsible. A trade name, payment handle, or contact person’s name may not be enough to identify the correct recipient.

Then state the legal source of the claim: loan, invoice, supply contract, service agreement, refundable deposit, advance, indemnity, guarantee, acknowledged balance, or another transaction. Match the demand to the agreement, purchase order, invoice, delivery or completion proof, and communications showing what was promised and when payment became due.

Build the documentary record

  • Agreement, work order, purchase order, estimate, or other governing terms
  • Invoices, delivery records, completion certificates, timesheets, or acceptance communications
  • Bank statements, UPI or transfer references, receipts, ledger entries, and credit notes
  • Emails, messages, account confirmations, balance acknowledgements, and settlement discussions
  • Returned-cheque or failed-payment records where relevant
  • Earlier reminders, replies, notices, and proof of delivery
  • Correct addresses, entity records, tax details, and signatory information

Create a date-wise chronology and connect each event to a supporting document. Preserve complete electronic records rather than relying only on isolated screenshots or a reconstructed ledger.

Calculate the demand transparently

Separate principal, contractual or legally claimed interest, charges, credits, part-payments, tax components, and the calculation date. Explain the basis for interest instead of adding an unexplained percentage. If goods or services are disputed, address delivery, completion, rejection, defects, set-off, or counterclaims reflected in the record.

A notice that demands more than the documents support may make settlement harder and create inconsistencies for later proceedings. The demand, annexures, ledger, and proposed claim should use the same figures and dates.

Check limitation before sending or negotiating

The Limitation Act prescribes different periods and starting points for different claims. A written acknowledgement or qualifying payment may affect the analysis in some circumstances, but the legal requirements and dates must be verified from the actual record. Do not assume that sending a legal notice automatically extends every limitation period.

Record the transaction date, due date, last payment, written acknowledgements, earlier proceedings, and every date that may matter. If time is short, legal assessment of the filing deadline should not wait for the notice-response period or prolonged negotiations.

Draft a notice that supports the next step

A focused notice normally identifies the parties and transaction, sets out material facts chronologically, states the obligation and breach, calculates the amount, refers to key documents, provides a clear response or payment requirement, and reserves the appropriate legal rights. The wording should remain professional and should not include threats, public-shaming language, or allegations unrelated to the claim.

Check any contractual notice clause, required address, delivery method, cure period, dispute-resolution clause, and arbitration provision. Send through a traceable method appropriate to the agreement and retain the final signed notice, enclosures, postal or courier proof, email record, and delivery result.

Plan for payment, denial, settlement, or silence

The response may admit the debt, dispute liability, seek documents, propose instalments, raise a counterclaim, invoke arbitration, or remain silent. Review the response against the contract and evidence before accepting a new schedule, waiver, security, or settlement wording.

The next route may be an ordinary civil recovery suit, a summary procedure where legally available, arbitration, a remedy connected with an eligible micro or small enterprise, or another forum.
