Specific Performance Suit in Kolkata for an Agreement to Sell

When an agreement to sell is not completed, the legal review should test the agreement, title, payment history, readiness to perform, limitation, later dealings, and whether specific performance or another remedy fits the facts.

Important: This is general legal information. Do not treat it as a prediction of relief. The governing documents, property, parties, conduct, limitation, and current law control the available remedy.

What specific performance seeks

Specific performance asks the court to enforce a contractual obligation rather than limit the claimant to money compensation. The Specific Relief Act governs the remedy and also addresses substituted performance, compensation, possession, partition, refund of earnest money, rectification, rescission, cancellation, declarations, and injunctions in appropriate situations.

The correct pleading depends on the complete transaction. A property dispute may require more than a direction to execute a deed.

Questions that require early review

  • Is there a concluded and sufficiently certain agreement?
  • Does the person promising to sell have the title or authority represented?
  • What payments were made, when, and through which records?
  • What obligations and deadlines applied to each side?
  • Was the claimant ready and willing to perform the essential obligations?
  • Has the property been sold, charged, developed, possessed, or promised to another person?
  • What notice, refusal, or other event affects limitation?

Documents to preserve

Collect the agreement and every annexure, payment receipts and bank records, title papers, searches, correspondence, draft deeds, tax and municipal records, loan approvals, notices, replies, possession evidence, broker communications, and details of later purchasers or occupants. Keep originals and prepare a page-indexed chronology.

Readiness, willingness, and conduct

The file should show what the claimant was required to do and the steps actually taken. Assertions alone may be insufficient where payment, financing, attendance for execution, approvals, or document requests are disputed. At the same time, the seller’s title defects, refusal, new demands, or dealings with third parties may be material.

Interim protection and alternative relief

If there is a real risk of transfer, construction, possession change, or creation of third-party rights, urgent advice may be required. Any interim request should identify the right, threat, evidence, and precise restraint sought. The plaint should also consider legally available alternative or additional relief so that the requested remedy matches the transaction if specific performance is unavailable or incomplete.

Common mistakes

  • Waiting without calculating limitation from the correct event
  • Demanding performance without checking the seller’s title and property description
  • Failing to preserve proof of funds, tender, or contractual compliance
  • Ignoring later purchasers, co-owners, mortgages, possession, or pending cases
  • Using a generic prayer that omits possession, refund, compensation, declaration, cancellation, or injunction where needed
